THIS AGREEMENT has a term of 12 months from the date of execution and will automatically renew unless Client notifies netSpray in writing at least 60 days prior to the expiration date.

1. netSpray does hereby agree to render and provide work, services, labor and/or materials in accordance with the defined specifications. 
2. Client does hereby agree to pay netSpray per the Terms defined in the ‘Fees’ section of this Agreement. 
3. Client does hereby indemnify and hold harmless netSpray and its heirs, executors, administrators, agents, employees, successors and assigns from any and all claims, demands, actions, causes of action, suits at law or in equity, damages, costs, expenses, and losses of any kind or nature whatsoever, whether now known or unknown which may not exist or which may hereafter arise out of or from the work, services, labor and/or materials to be rendered and provided by netSpray or its subcontractors to or for the benefit of Client.
4. Client grants netSpray rights to all material and derivative of work of this Agreement and as a result of all work consummated as part of the relationship between netSpray and Client, the Client grants netSpray all rights with respect to copyrights, moral rights, author’s rights, rights of publicity, mask work rights, trademarks, service marks, trade names, trade secrets, know-how, contract rights, licensing rights, program and application code owned or written prior to involvement with netSpray, or other proprietary or intellectual property rights under the laws of any jurisdiction, whether now existing or hereafter arising of the Client.
5. This Agreement shall be governed by and shall be construed in accordance with the laws of the State of Nevada.  In any disputes over the provisions of this Agreement the matters shall first be turned over to mitigation.  If good faith of mediation is impossible the dispute may be submitted to arbitration in the jurisdiction of Austin, Texas.

FEES:  netSpray’s Discounted and Introductory Fee structure is based on two Options:  1) a one-time implementation/setup Fee with monthly recurring charges for hosting, maintenance, continued education and future product enhancements for the duration of this Agreement or 2) a one-time implementation/setup Annual Fee with no recurring monthly hosting and maintenance Fees and a nominal Annual hosting and maintenance Fee after Year 1.  

OPTION 1 – One-Time Setup and Monthly Recurring Fees:

One-Time Setup Fee – Client agrees to pay a one-time setup and INTRODUCTORY Fee of $147 USD (discounted from $247 USD)payable to netSpray, LLC upon execution date of this Agreement.  This fee includes the setup and implementation of the Spotlight PortfoliosSM. 

Monthly Recurring Fee – Client agrees to pay a monthly recurring and INTRODUCTORY hosting and maintenance Fee of $17 USD (discounted from $27 USD) payable to netSpray, LLC beginning 30 days (1 Month) from the execution date of this Agreement. 

OPTION 2 – One-Time Annual Setup and No Monthly Recurring Fees:

One-Time Annual Setup Fee –Client agrees to pay a one-time Annual setup and Discounted INTRODUCTORY Fee of $247 USD (discounted from $447 USD)payable to netSpray, LLC upon execution date of this Agreement.  This fee includes the setup and implementation a (1) One Year of Hosting and Maintenance of the Spotlight PortfoliosSM. 

Annual Recurring Hosting and Maintenance Fee – Client agrees to pay an Annual recurring and Discounted INTRODUCTORY hosting and maintenance Fee of $97 USD (discounted from $197 USD) per year payable to netSpray, LLC beginning 12 months (1 Year) from the execution date of this Agreement. 

This Agreement constitutes the entire Agreement between the parties pertaining to its subject matter and it supersedes all prior contemporaneous Agreements, representations and understandings of the parties.  No supplement, modification or amendment of this Agreement shall be binding unless executed in writing by all parties.
